  1. GENERAL TERMS AND CONDITIONS

Paksu.net (and huonekalutehdasoy.fi and kimmoseppanen.fi) is a marketplace maintained by Huonekalutehdas Seppänen Oy, where the seller of the products is Huonekalutehdas Seppänen Oy (Business ID 2353522-7). The term “Factory” refers to Huonekalutehdas Seppänen Oy. All products of the online store and Huonekalutehdas Seppänen Oy are manufactured according to  specific orders, individually for a customer, the products are not stored, thus the products do not have any unilateral right of return. The following terms and conditions apply to the commercial relationship between Huonekalutehdas Seppänen Oy and its customers. The third-party assets brokered by Huonekalutehdas Seppänen Oy are applied under the Consumer Protection Act, in addition to the terms and conditions specified by the service provider.

Huonekalutehdas Seppänen Oy reserves the right to change these terms and conditions by unilateral decision without providing any prior notice. Orders are subject to the terms and conditions listed here in effect at the time of ordering. Amendments to the Act shall enter into force immediately as such, unless otherwise provided by law.

 

Huonekalutehdas Seppänen Oy is not liable for any damage caused by force majeure. Force majeure is an unforeseeable circumstance or change in circumstances which is beyond the control of Huonekalutehdas Seppänen Oy and which Huonekalutehdas Seppänen Oy cannot reasonably have overcome. Huonekalutehdas Seppänen Oy is obliged to notify the Customer as soon as possible of any force majeure.

 

  1. CUSTOMER

Huonekalutehdas Seppänen Oy sells products and services to an adult private individual (hereinafter referred to as consumer) and, also to a person under 18 years of age with the consent of a guardian. The goods are also sold to corporate and public administration and institutional customers (hereinafter referred to as corporate customers), who acquire such goods for professional use.

 

The consumer trade complies with current Finnish and European Union consumer protection legislation. These terms and conditions are not valid to the extent that they restrict the consumer’s rights under mandatory law.

 

The trade agreement made between corporate customers and Huonekalutehdas Seppänen Oy is governed by the Finnish Trade Act, unless otherwise determined in these terms and conditions.

 

When placing an order, the customer is obligated to provide their complete contact information, which includes, at least, their name, address and telephone number, as well as possibly an e-mail address. The information required from corporate customers is the contact person’s name, telephone number and e-mail address, as well as the company’s Business ID, postal address, telephone number or numbers and invoicing address.

 

Delivery time estimates are prepared according to Huonekalutehdas Seppänen Oy’s current order backlog and production capacity. Huonekalutehdas Seppänen Oy and its used suppliers are not liable for any delays caused by unforeseen changes outside their own sphere of influence. A binding trade agreement enters into force when the customer pays the preliminary invoice sent by Huonekalutehdas Seppänen Oy for the products concerned. The preliminary invoice, in this case,  is the full transaction amount for the trade.

 

Data protection: Customer data is stored in Huonekalutehdas Seppänen Oy’s customer register, where the data is used to maintain and manage customer relationships. Huonekalutehdas Seppänen Oy and companies belonging to the same group also have the right to process and disclose the data in the register for justified purposes (such as for direct marketing) in accordance with the Personal Data Act (523/99). The customer may prohibit the use and processing of their data for marketing purposes and inspect the information concerning them by contacting Huonekalutehdas Seppänen Oy’s customer service via kimmo@huonekalutehdasoy.fi or 0400-845498.

 

  1. PRODUCTS AND PRICE LIST

Prices include VAT, but do not include shipment costs unless otherwise stated. If there are obvious price errors in the price list, the product will not be sold at a significantly lower price if it can be assumed that the customer has understood the existence of the error beforehand.

 

If the price of a product increases before the shipment is processed, the products ordered at Huonekalutehdas Seppänen Oy will be delivered at the original price. If changes are made to an order, the price of the product will be determined according to the price at the time of the change. When a price decreases, we will automatically deliver the product at the new cheaper price.

 

Huonekalutehdas Seppänen Oy reserves the right to restrict the sale of products in exceptionally large batches. Huonekalutehdas Seppänen Oy does not sell its products through its online store for resale purposes. Resale agreements are made as separate agreements.

 

With the exception of the factory’s outlet and 2-quality products, all products are new. The manufacture of an ordered product will begin when the preliminary invoice received by the customer is paid into Huonekalutehdas Seppänen Oy’s bank account.

All products are manufactured separately at the customer’s request and, thus, the products ordered are not granted a unilateral right of cancellation. Any costs incurred in connection with a cancellation of an order will be charged in full from the buyer.

 

Products are only sold to consumers only under the rules of acquisitions. The installation, commissioning and use of the products require professional expertise in the field. Huonekalutehdas Seppänen Oy is not liable for damage to an incorrectly installed product or damage to a third-party product or party as a result of an incorrect installation of the product. (Examples are tall products that may involve a risk of falling or wall-mounted products that may involve the risk of falling goods.)

Factory outlet and 2-grade products are always sold in the condition they are in. This refers to trade in used discount products. (Consumer Protection Act, 5. Chapter, § 14)

 

  1. PAYMENT METHODS

 

A pdf. invoice sent by email to the email address provided by the customer.

A paper invoice sent to the postal address provided by the customer.

Preliminary invoice: A binding trade agreement enters into force when the customer pays the preliminary invoice sent by Huonekalutehdas Seppänen Oy for the products concerned. The payment term for a preliminary invoice is 7 days net.

 

By paying the preliminary invoice, the customer gains full ownership of the product they have ordered.

 

Collection costs, default interests and payment notifications: The customer must reimburse Huonekalutehdas Seppänen Oy for any costs incurred in collecting payments related to their orders. The default interest rate is 9.5%. All payment notifications will include an additional charge of EUR 5.00 each.

 

To register a non-payment into the credit register: Huonekalutehdas Seppänen Oy may, on the basis of the Personal Data Act, notify the credit information register of a non-payment when the payment is delayed for at least 60 days from the original due date mentioned in the payment request and the consumer’s non-payment is not due to a reason beyond the customer’s control.

 

Right of cancellation: The customer has the right to cancel their order before the preliminary invoice sent by the factory is due for payment. A cancellation must be made through the customer service via kimmo@huonekalutehdasoy.fi or 0400-845498. After payment of the preliminary invoice, the products have no right of return.

 

Other terms and conditions: The customer must immediately notify Huonekalutehdas Seppänen Oy of any changes to their name and address information. Huonekalutehdas Seppänen Oy has the right to transfer its rights based on this agreement to a third party.

 

Checkout Finland Oy acts as the payment intermediary. The Checkout payment intermediary service will forward the customer’s payment to the supplier. The customer is provided with payment buttons and the most common credit cards from all banks in order to make payments. Checkout Finland Oy is a secure payment method for the customer.   1. SHIPMENT METHODS AND SHIPMENT COSTS.

Huonekalutehdas Seppänen Oy’s shipment methods can be seen on page (1) one of the Shopping Cart. Shipment costs vary according to the methods used and the product weight and can be viewed when making an order.   1. ORDER CONFIRMATION, DELIVERY TIME AND SHIPPING TIME.

The average order confirmation time is 2-10 business days, whereupon an order confirmation and preliminary invoice will be sent to the customer. From the order confirmation, the customer can check the correctness of the order and by paying the preliminary invoice, the order is accepted. If there is a need to correct an order or order confirmation, the customer is advised to contact our customer service via kimmo@huonekalutehdasoy.fi or 0400-845498 before the due date of the Preliminary invoice.

The working time, i.e., the time taken by the factory to manufacture the product, is, on average, 5-7 weeks. For more information on the completion schedule of the ordered product, we advise you to contact our customer service via kimmo@huonekalutehdasoy.fi or 0400-845498.

The shipment time after the product is completed is usually 3-10 business days. The transportation company will contact you in order to arrange a delivery time.

The approximate time between ordering and receiving a product ordered via the Paksu.net online by a customer in Finland  is around six (7) weeks. A significant deviation from this concerns orders made during the summertime (June-August), when the time between ordering and receiving an ordered product is around ten (10) weeks. Huonekalutehdas Seppänen Oy reserves all rights to make changes in working times. The estimated delivery time is stated in the order confirmation.

 

The customer is obliged to inspect the shipment within 8 days and read the instructions for use of the product before its use. Upon receipt of the product, the customer must check the product in the presence of a representative of the transport company! Any comments on the product must be made immediately in the presence of the carrier’s representative. If the product is received and acknowledged and accepted, the manufacturer will no longer have the opportunity to complain about possible transport damage, but the damage will be the responsibility and care of the customer who received it.

 

  1. RETURN POLICY

All products are manufactured separately at the customer’s request and, thus, the products ordered are not granted a unilateral right of cancellation.

Manufacturing of the product (s) will begin at the factory after the customer has paid the preliminary invoice. After the due date of the preliminary invoice has passed, the order for the product / products can no longer be cancelled.

 

  1. WARRANTY, LIABILITY FOR ERRORS AND COMPLAINTS

The warranty is determined in accordance with the warranty conditions specified by Huonekalutehdas Seppänen Oy. The buyer is obliged to read the warranty terms and conditions supplied with the product before using the product. The warranty conditions can be found in the product description supplied with the products.

Huonekalutehdas Seppänen Oy reserves the right to restrict the sale of products in exceptionally large batches. Upon discovering a defect or error in the product, the customer is obliged to send to the factory sufficiently clear pictures of the defect or error in the product when making a complaint.

 

The time that will be taken to rectify defects or errors in the products made or caused by the factory is an average of four (4) weeks from the moment on which the customer has  presented the defect or error in the product. A significant deviation from this duration will be actions taken during the summertime (June-August), during which defects or errors in products will be rectified within an average of eight (8) weeks.

 

Unjustified complaints or costs for maintenance visits will be charged in full from the buyer if the complaint concerning the product has been clearly unjustified. Huonekalutehdas Seppänen Oy is not liable for damages caused by the buyer’s actions. Huonekalutehdas Seppänen Oy retains the right to inspect the nature and quality of the defect in the product, also in connection with the cancellation of a transaction. Possible costs of the maintenance company, handling costs of Huonekalutehdas Seppänen Oy and logistical costs will be charged as expenses for unjustified complaints or maintenance visits that are deemed to be unjustified.

 

Any disassembly of the product or parts of the product in order to modify the product terminates the warranty and liability for defects as defined by law, unless otherwise stated by the manufacturer.

 

The customer is obliged to present a proof of purchase when claiming a defect in the goods. Huonekalutehdas Seppänen Oy reserves the right to charge the buyer for any costs required for searching for a receipt.

 

Complaints will only be processed in writing. A free-form complaint can be submitted either via e-mail to kimmo@huonekalutehdasoy.fi or by post to Huonekalutehdas Seppänen Oy, Teollisuustie 12, 41900 Petäjävesi. The website has the option to leave customer feedback.

 

Settlements and jurisdiction of disputes: A consumer customer has the right to refer any disputes arising from this agreement to the Consumer Disputes Board. The customer may raise an action against Huonekalutehdas Seppänen Oy for disputes arising from this debt relationship, in the district court of Huonekalutehdas Seppänen Oy’s domicile.

 

Attorney’s fees are not required to be reimbursed, as the Consumer Advice and the Consumer Disputes Board provide assistance in resolving disputes free of charge.

 

  1. DISTRIBUTION OF RESPONSIBILITY IN ACQUISITIONS

Products and services are always sold as they are. Huonekalutehdas Seppänen Oy is not liable for indirect or direct costs caused by an error and / or use of products or services, nor for any loss of income. Huonekalutehdas Seppänen Oy’s liability is always limited to the content of these terms and conditions. The liability for product defects is limited to the possible return of the purchase price, less the actual commodities.

 

Huonekalutehdas Seppänen Oy is not obliged to fulfill an agreement if it encounters a force majeure that it cannot reasonably overcome. Huonekalutehdas Seppänen Oy is not obligated to compensate the customer for damage or costs caused to the customer in the event of force majeure, and is entitled to then cancel the agreement.

 

By submitting an order and / or a request for an offer, the customer unequivocally accepts the agreement terms and conditions of Huonekalutehdas Seppänen Oy. Any supply agreement terms and conditions used by the customer will not be complied with if they are deemed to be in conflict with the agreement terms and conditions of Huonekalutehdas Seppänen Oy.

 

  1. SERVICES

The terms and conditions of Huonekalutehdas Seppänen Oy apply in full to the services sold by Huonekalutehdas Seppänen Oy.

Service orders have no right of cancellation or return. All costs incurred for work started will be invoiced in the event that the order is cancelled by the customer after an electronic order confirmation has been sent. The aim is to suspend such work without undue delay after receiving a notification made by the customer.

 

In addition to the agreed upon price, Huonekalutehdas Seppänen Oy has the right to invoice the customer for costs arising from changes in the situation or other circumstances on the part of the customer. Such changes include incompleteness of submitted material, corrections and changes to the agreed upon material after the start of the work, an unreasonable delay caused by the customer, additional prints, printed or colour samples. Any additional shipping and packaging costs are also the responsibility of the customer.

 

If there is a reason to invoice the above-mentioned additional costs, Huonekalutehdas Seppänen Oy will inform the customer without undue delay.

 

Huonekalutehdas Seppänen Oy reserves the right to correct errors. An error, according to its nature and quality, shall be corrected by granting a reasonable price reduction or by delivering a new product. The maximum amount of compensation for an error is the price of the order itself. Huonekalutehdas Seppänen Oy is not liable for direct or indirect damages or loss of earnings caused by an error.

Huonekalutehdas Seppänen Oy can also carefully store ready finished products after the agreed upon delivery date.

 

Huonekalutehdas Seppänen Oy has the right to charge a reasonable amount of compensation from the customer for storing products. The product will be stored for a maximum of three (3) months, after which the ownership of the product will pass to Huonekalutehdas Seppänen Oy. Huonekalutehdas Seppänen Oy reserves the right to correct errors. If the product has no resale value or the sale would incur unreasonable costs, Huonekalutehdas Seppänen Oy reserves the right to dispose of the product for recycling. All manufacturing, storage, sales and / or recycling costs are invoiced directly from the customer.
